Production Terms

Dawn Sourcing is operated by GD TRADE, whose company in China is Yiwu Jindi Trading Co., Ltd. (义乌市金砥贸易有限公司). These Production Terms apply to production (OEM) orders contracted with Yiwu Jindi Trading Co., Ltd. (义乌市金砥贸易有限公司), trading as GD TRADE, including quotations and samples for those orders. What we do

We act as your production agent in China. Our process is: tech pack or bench sample, fabric sourcing, indicative price, sample approval, 30% deposit, final sample for every SKU, bulk production (approximately one month), full inspection at our Yiwu warehouse, balance payment, then shipment. We are not the manufacturer of record for every item; where a partner factory produces your goods, we remain your single point of contact and are responsible to you for the order.

Quotations and prices

Any price we give before samples are approved is an estimate. It is based on the specification, fabric and quantity you give us at that moment, and it changes if any of those change. A firm price is the one stated in the order confirmation for a defined specification and quantity. Quotations are valid for 14 days. Fabric, trim and freight markets move, and we will tell you in writing before a quoted price changes.

Samples and approval

Your first style is sampled free of charge: one sample of one product per new buyer. Further styles and repeat samples are quoted with the order.

Production starts only after you approve samples in writing. After the 30% deposit, we produce a final sample for every SKU and get your written approval on each before bulk production begins. The approved sample is the standard the bulk is measured against.

Orders and payment

An order is formed when we confirm it in writing against an agreed specification, quantity, price and delivery window. A 30% deposit is due after sample approval and before we commit fabric or factory capacity; we do not hold capacity on an unpaid order. The balance is due after the goods pass inspection at our warehouse.

Goods do not leave China until the order is paid in full. This applies to every order without exception, including repeat orders and orders already in a container. We are not liable for storage cost, missed shipping dates or season loss caused by a delay in your payment.

Inspection

Every piece is checked at our Yiwu warehouse before shipment against the approved sample and the agreed specification. We report defects we find and repair, replace or deduct for them before the balance is invoiced. If you require a third-party inspection, tell us before production ends and we will arrange access; the cost is yours unless we agreed otherwise in writing.

Delivery, title and risk

Delivery terms, carrier and incoterms are those stated in the order confirmation. Lead times are estimates in good faith and run from the later of deposit receipt and final sample approval. Title and risk pass to you on the terms stated in that confirmation. We are not responsible for delay or loss caused by customs, carriers, port congestion, weather, power or production restrictions, or other events outside our control.

Claims

Claims must be submitted within 14 days of the date you receive the goods, with photos or video as evidence and the affected quantity. Every order is fully inspected at our Yiwu warehouse before shipment, so 14 days is enough to check delivered goods.

• We accept: defective goods; goods that differ from the approved final (pre-production) sample; quantity shortages.
• We do not accept: goods that match the approved sample; differences within the tolerances in your tech pack; damage that happens while goods are stored or used by you; changes of design or preference; claims received after 14 days.
• Remedy (our choice): repair, re-production, or credit against your next order. A cash refund only if none of these three is possible.
• Our liability for a claim is limited to the price of the defective quantity.

Your designs and brands

You keep ownership of the artwork, patterns, logos and specifications you send us, and you confirm that you have the right to use them. We will not knowingly produce goods that infringe a third party's trademark, copyright or design right, and we may decline or stop an order where infringement appears likely. You are responsible for claims arising from the designs and brands you instruct us to produce. We keep your specifications confidential and do not offer your designs to other customers.

What we will not produce

We do not produce counterfeit or replica branded goods, items that infringe third-party rights, or goods whose export from China or import into your country is prohibited. We may refuse any order on these grounds and will return any deposit paid for work not yet started.

Using this website

The content, photographs and free tools on this site are provided for information. The calculators give estimates only and are not a quotation. Do not copy the site's content for commercial use without our permission. We handle the data you send through this site as described in our privacy policy.

Governing law

These terms are governed by the laws of the People's Republic of China. Both parties will first negotiate in good faith for 30 days. If the dispute is not resolved, it will be submitted to the competent people's court in Yiwu, Zhejiang. Where an order confirmation states different terms, that confirmation prevails over this page for that order, except that the payment requirements and required production process above always apply.
